Learning outcomes
To know fundamental principles of European company law and basic theoretical problems concerning legal regulation of the companies’ activity within the EU; EU rules on companies’ financial management and accounting standards; corporate governance practices of the European companies in the context of European company law; European capital market functioning and company takeover procedures under European company law; principles and procedures of European company’s reorganisation. To be able to practically apply the acquired knowledge concerning formation, reorganisation and dissolution of European companies, corporate governance, companies’ financial management and accounting, other aspects of company functioning; work with sources of EU company law (founding treaties, regulations, directives, the case law of the CoJ), etc. To acquire basic communicative skills in the process of case-solving and discussing practical cases related to various aspects of European company law

Proficiency in English, general competence in institutional and substantive European Union law, corporate law and private international law, modern legal systems

Thematic plan of the discipline: 1. European company law: origins and legal framework 2. Freedom of establishment of companies in the European Union 3. European company formation and disclosure rules 4. Corporate finance and accounting 5. Corporate governance practices in the European Union 6. Capital markets and takeover regulation 7. Reorganisation of companies. Dissolution and insolvency 8. Future evolution of the European company law

Assessment methods and criteria
Current control: answers (up to 30 points), individual analytical assignments (up to 10 points), presentation of reports, case study (up to 20 points). The form of final control is an exam. The exam is conducted in writing. The student's answer to the exam – up to 40 points.
