Learning outcomes
To know basic theoretical problems concerning legal regulation of international trade relations; system of fundamental principles of international trade law; specifics of concept, content and structure of lex mercatoria; system of legal instruments applicable to the regulation of international business transactions; various types of business transactions and contracts; basic rules and requirements concerning contract formation, buyers and sellers’ obligations, excuse of performance of contracts. To be able to analyse content of the international sales contracts, identify potential risks inherent to them; work with relevant case law, understand the courts’ reasoning, identify legal positions and critically assess them; analyse and apply legally binding and soft law instruments concerning terms and forms of delivery, regulation of shipper-carrier relations; prepare draft international sales contracts and legal notices to them

Proficiency in English, general competence in international trade law, private international law and contemporary legal systems

Thematic plan of the discipline: 1. Legal regulation of economic integration 2. Nature of international commercial agreements. General legal framework for international commercial transactions 3. Contract formation under the United Nations Convention on Contracts for the International Sale of Goods 4. Buyer’s/Seller’s obligations and remedies. Damages, excuse to performance and preservation of goods 5. The limitation period in international sale of goods. Electronic communications in international contracts 6. The Unidroit Principles of International Commercial Contracts and the CISG 7. Commercial terms (Incoterms 2010/2020)

Assessment methods and criteria
The final course assessment is based on the aggregated evaluation of assignments performed by a student during the semester graded on the scale of 0-100. The final grade is taken in the form of credit (the total number of grades for the course which is defined as the sum of points for systematic work during the semester). Forms of assessment: answers (up to 35 points), written analytical assignments (up to 10 points), presentation of reports, case study (up to 30 points), final practical assignment (up to 25 points)
