Learning outcomes
Achievement of such competencies, skills and abilities as solving complex specialized problems and practical problems in the field of corporate law, which involves the application of legal doctrines, legal principles, the ability to solve cases in the field of corporate law in situations that require a systematic, logical and functional interpretation of the law, as well as understanding the specifics of its application; drafting law enforcement acts (drafts of court decisions on various categories of corporate disputes, drafts of corporate regulations, taking into account the requirements for their legality, validity and motivation); professional support of corporate operations and processes, ability to analyse corporate institutions in terms of their problematic aspects.

Prerequisites and co-requisites
Analyse the provisions of the Commercial Code of Ukraine and other legislation governing corporate relations, the provisions of the legislation on the legal status of business associations of various forms of organization, determine the order of formation and termination of corporate law entities; analyse case law on dispute resolution with the participation of subjects of corporate relations; be able to process sources of special literature on relevant topics of the course; use acquired interdisciplinary links, in particular, in economic, civil, tax law; compile problems on the basis of real court cases; draft law enforcement acts used in corporate relations (constitutional and internal documents), draft a corporate agreement for a limited liability company or a joint stock company.
Course content
The discipline focuses on the legal regulation of corporate relations, legal support of economic activity of organizational and legal forms of the corporate type, which contributes to improving the professional level and competitiveness of future lawyers in legal professions market by deepening knowledge in the field of corporate law and forming skills for effective management of corporate structures. The discipline builds interdisciplinary links with other disciplines, such as: civil law, economic law, civil procedural law, economic procedural law, develops the ability to draft constitutional documents of corporate entities. Considerable attention is paid to the analysis of case law on various categories of corporate disputes.

Planned learning activities and teaching methods
Teaching methods include conversation, explanation, scientific discussion on topical issues of the course; problem-based teaching of certain issues of the course, the use of visual material in the form of presentations, the use of statistical methods for presenting material on types of organizational and legal forms of corporate entities; review and analysis of webinars; practical methods - coordination of students’ actions in solving problems based on real case materials, controlled simulation of students’ consultations and drafting procedural documents and documents on legal issues connected with possible ways of protection of corporate entities’ rights and interests; discussion of complex legal issues of the course.
Assessment methods and criteria
Types of formative assessment are chosen by the teacher who conducts practical lessons in accordance with the course syllabus. The teacher who conducts the seminars enters the number of points scored during ongoing performance assessment into the relevant documents of student performance assessment.
If a student is absent from a seminar for a valid reason, s/he may complete the missed lesson in extracurricular time during the module when this lesson was missed. The procedure is carried out by means of oral questioning or another type of task set by the teacher. Points for missed classes are not awarded.
