Learning outcomes
Achievement of the following competencies, skills and abilities: to know the main aspects of the formation and development of joint-stock companies, legislative acts regulating the relationship of their creation, operation and termination; to correctly determine and reasonably apply the legal norm, depending on the facts of the case and the issues raised in the problem, as well as the arguments of the parties to the dispute, analyse the legal position of higher courts regarding corporate disputes; to have a good command of joint-stock company terminology; competently and accurately formulate and express personal position, properly substantiate it; to propose specific solutions for resolving a problem with regard to the specifics of a situation of the case and with the help of legal norms for corporate dispute resolution; to provide consultations in the field of joint-stock relations regulation, draft procedural documents for the protection of corporate rights

Prerequisites and co-requisites
1. Know the rules of the Economic Code of Ukraine and legislative acts regulating the legal status of business entities of various organizational and legal forms, determine the legal status of their property, the system of bodies resolving corporate disputes. 2. Be able to consolidate and deepen the knowledge gained during lectures by means of developing sources of special literature on relevant topics of the course; use the knowledge acquired from other disciplines, in particular, civil and economic law; use legal information and analytical resources of the Internet; perform self-study tasks, solve problems. 3. Possess skills for drafting law enforcement acts used in joint-stock companies’ activities (constitutional and internal documents, agreements); resolve corporate disputes with the help of legal methods.
Course content
The discipline is aimed at mastering theoretical and practical knowledge of the basic institutes of joint-stock company law: joint-stock company; legal status of shareholders; shareholder relations; creation and termination of a joint stock company; legal regime of property; agreements in joint-stock relations; corporate governance

Planned learning activities and teaching methods
Types of classes include lectures, seminars, guest lectures. Forms of learning: group learning. Teaching methods: the optimal combination of general didactic methods, interactive techniques and teaching aids used to organize the educational process at the university (teaching material in the form of lectures using video presentations, dialogue, discussion, questioning, role play, mini-group work etc.). Presentations of lectures, online learning materials, problems (practical cases), tests, individual self-study tasks are applied.
Assessment methods and criteria
Types of formative assessment are chosen by the teacher who conducts practical lessons. Semester assessment: 1. report - from 3 to 5 points; 2. questioning - from 3 to 5 points; 3. participation in the discussion - from 3 to 5 points; 4. individual written task - from 6 to 10 points. 5. solving a case (problem) - up to 3 to 5; 6. module test - from 6 to 10 points Students can complete a missed lesson within 14 days after recovery by means of an oral answer or written assignment. The maximum score that can be achieved by a student at the end of the semester is 40 points; minimum - 24 points. The form of final control is a credit, where the maximum number of points that a student can achieve is 60.
