Learning outcomes
Formation of the following competencies in students: the ability to abstract thinking, analysis and synthesis, in relation to legal entities in private law; the ability to search, process and analyze information from various sources, in relation to legal entities in private law; ability to adapt and act in a new situation; the ability to generate new ideas (creativity); the ability to apply the principles of the rule of law to solve complex problems and problems, including, in situations of legal uncertainty, regarding legal entities in private law; the ability to analyze and assess the impact of the EU legal system on the legal system of Ukraine, in relation to legal entities in private law.
Form of study
Prerequisites and co-requisites
Know the current civil and corporate legislation of both Ukraine and foreign countries, in particular, the Civil Code of Ukraine, the Law of Ukraine "On Joint Stock Companies," special scientific literature, the recommended list of which is contained in this curriculum, as well as judicial practice of resolving corporate disputes and other disputes involving legal entities;
To be able to operate freely with a conceptual and categorical apparatus when discussing and solving problem situations; apply norms in the field of regulation of private legal relations with the participation of legal entities, draft local corporate acts and procedural documents corresponding to the subject of the educational discipline.
Possess skills in preparing draft court documents and using legal methods to resolve disputes arising in resolving corporate disputes and other disputes involving legal entities.
Course content
The main components of the discipline are the formation of competencies aimed at: the development of abstract thinking, analysis and synthesis; ability to conduct research in the field of regulation of relations with the participation of legal entities at the appropriate level; search, processing and analysis of information from various sources; applying the principles of the rule of law to solve complex problems and problems in the field of legal entities, including in situations of legal uncertainty; analyze and assess the impact of the EU legal system on the legal system of Ukraine in terms of private legal regulation of this area.

Lectures, seminars, independent work of the student on the basis of textbooks, notes, guidelines, consultations with the teacher
Assessment methods and criteria
Semester forms of assessment: report (speech on a given topic) - from 3 to 5 points; supplement of the report - from 1 to 4 points; discourse (participation in the discussion) - from 1 to 3 points; colloquium - from 3 to 6 points; abstract (meaningful written work on a given topic with an analysis of the literature and conclusions) - from 6 to 10 points; development of a draft contract (private legal transaction) - from 10 to 12 points.
Subject to evaluation: the level of knowledge demonstrated in the answer; activity in discussing issues; systematic work in the classroom; homework results.
A student who has not reached the minimum threshold level of assessment (24 points) of those learning outcomes that cannot be assessed during the final control may not be allowed to final assessment.
final assessment: offset (in the form of an interview with the possible use of information and communication technologies) (maximum score - 60).
