Learning outcomes
Aimed at achieving a variety of competencies by students, in particular, the ability to abstract thinking, analysis and synthesis in the activities of a corporate lawyer; the ability to conduct research on aspects of the corporate lawyer's activities at the appropriate level; ability to search, process and analyze information on the activities of a corporate lawyer from various sources; ability to justify and motivate legal decisions of a corporate lawyer, to give detailed legal reasoning; ability to establish ethical standards of legal activity of a corporate lawyer, standards of professional independence and responsibility of a lawyer.

Prerequisites and co-requisites
Know the basic theoretical and practical aspects of regulation and organization of legal work, features of classification and content of transactions, acts, other documents used in the activities of legal entities, their legal nature.
Have the skills to prepare draft transactions taking into account the specifics of any practical situation and resolving disputes arising in the field of legal services by a corporate lawyer.
Course content
Forms of teaching and teaching methods of this discipline are aimed at conducting legal analysis of legal structures used in the practice of corporate law, and studying theoretical and practical issues arising during the operation of the legal service (legal department), law firm or self-employed lawyer and providing them relevant services.
Within the framework of the discipline the general characteristics of corporate governance are studied; legal regulation of legal entities; legal nature and characteristics of civil law contracts; contractual, pretentious, claim work of a corporate lawyer, interaction of a corporate lawyer with government agencies. The course of the discipline involves in-depth study by students of current legislation of Ukraine, legal literature, basic concepts and special terminology.

Assessment methods and criteria
At the seminars, the current control of the student's knowledge in the academic discipline includes: express survey - performance in the classroom - from 5 to 7 points; addition to the performance - from 1 to 4 points; significant questions to the speakers (discourse) - from 1 to 3 points; reports and scientific works - from 5 to 7 points; solving the case - from 2 to 5 points; two final (modular) control works - from 5 to 7 points for each (total: from 10 to 14 points).
Subject to evaluation: the level of knowledge demonstrated in the answer; activity in discussing issues; systematic work in the classroom; homework results.
A student who has not reached the minimum threshold level of assessment (24 points) of those learning outcomes that cannot be assessed during the final control may not be allowed to final assessment.
final assessment: written exam or oral exam (in the form of an interview with the possible use of information and communication technologies)
